TERMS OF SERVICE

IMPORTANT NOTICE

THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT AND CLASS‑ACTION WAIVER (SECTION 18). BY USING THE PLATFORM, YOU AGREE TO THESE TERMS.

1. Acceptance

By accessing or using the Platform, you ("User") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. Corporate & Clinical Structure

All medical or clinical services are furnished by Kin Medical Group P.A., an independent, physician‑owned professional entity. Kin Therapy, Inc. does not practice medicine or direct clinical decisions and is not liable for medical advice or treatment.

3. Eligibility

You must (a) be at least 18 years old (or a parent/guardian enrolling a minor), (b) reside in a U.S. state where Kin Medical Group clinicians are licensed, and (c) have legal capacity to enter a contract.

4. Not for Emergencies

The Platform is not designed for crisis situations. If you believe you are in danger, call 911 or 988 (Suicide & Crisis Lifeline) immediately.

By scheduling or participating in a telehealth session, you consent to receive care via interactive audio, video, or other electronic means and acknowledge the associated risks (e.g., technical failures, information security).

6. Account Registration & Security

  • Provide accurate information and keep it current.
  • Maintain confidentiality of login credentials.
  • Notify us immediately of unauthorized use.

We may suspend or terminate accounts for violation of these Terms.

7. User Responsibilities

You agree to:

  • Use the Platform only for lawful, personal, and non‑commercial purposes;
  • Refrain from harassing, abusing, or threatening others;
  • Not upload content that infringes third‑party rights or contains malware;
  • Attend scheduled sessions or provide at least 24‑hours’ notice to avoid cancellation fees.

8. Fees, Billing & Insurance

You are responsible for payment of all fees not covered by insurance (co-pays, coinsurance, deductibles, self‑pay rates). Payments are processed by a PCI‑DSS‑compliant provider. Prices are subject to change upon notice.

9. Intellectual Property

All content—including text, graphics, logos, and software—is owned by Kin Therapy, its licensors, or Kin Medical Group and protected by U.S. and international laws. We grant you a limited, revocable, non‑transferable license to access and use the Platform for its intended purpose.

10. Prohibited Conduct

You must not:

  1. Copy, modify, or create derivative works based on the Platform;
  2. Reverse‑engineer or scrape data without consent;
  3. Impersonate any person or entity;
  4. Use the Platform to advertise or solicit;
  5. Interfere with security‑related features or networks.

11. Third‑Party Links & Services

The Platform may contain links to third‑party sites (e.g., pharmacies, labs). We do not endorse or control those services and are not responsible for their content or privacy practices.

12. Disclaimers

  • No Medical Advice by Kin Therapy: All medical content is for informational purposes unless delivered by a licensed clinician within a patient‑clinician relationship.
  • “AS IS” Provision: The Platform and content are provided “as is” without warranties of any kind, either express or implied, to the maximum extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, Kin Therapy, its affiliates, officers, employees, agents, suppliers, or licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of (or inability to use) the Platform— even if advised of the possibility.

14. Indemnification

You agree to indemnify and hold harmless Kin Therapy, Kin Medical Group, and their respective officers, directors, and employees from any claims, damages, or expenses (including attorneys’ fees) arising out of your breach of these Terms or misuse of the Platform.

15. Modifications to the Platform

We may modify, suspend, or discontinue any aspect of the Platform at any time with or without notice and without liability.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict‑of‑law provisions.

17. Electronic Communications & Signatures

You consent to receive communications electronically and agree that electronic signatures have the same legal effect as traditional signatures.

18. Arbitration & Class‑Action Waiver

  1. Binding Arbitration: Any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in New York County, NY.
  2. Class Waiver: Disputes will be arbitrated only on an individual basis; class arbitrations and class actions are not permitted.
  3. Opt‑Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@kin-therapy.com.

19. Termination

We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Platform ceases immediately, but Sections 9–18 will survive.

20. Severability

If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

21. Changes to These Terms

We may update these Terms periodically. Material changes will be posted on the Platform and effective when posted. Continued use after changes constitutes acceptance.
